Terms of Service
These terms govern your use of the Ephemerent website and the Orrery software, including its free local mode and the paid subscription tiers (together, “the Service”). The Service is operated by [PLACEHOLDER: LEGAL ENTITY] (trading as “Ephemerent,” “we,” “us”). By installing, using, or subscribing to the Service you agree to these terms. Orrery is in beta — read the disclaimers below carefully.
Beta software
Orrery is pre-release. It may be incomplete, change without notice, contain bugs, or be unavailable at times. The current desktop builds may be unsigned, so your operating system may warn before installing. Features described on this site may ship later or change. Don’t rely on the beta for anything critical, and keep your own backups.
Accounts
Free local use does not require an account. Signing in (with Google, GitHub, or email) is required for the paid tiers. If you create an account, keep your sign-in secure, give accurate information, and don’t share your account. You’re responsible for all activity under your account.
Subscriptions, tiers, and what’s included
Orrery’s Free plan includes the local desktop editor, local models (e.g. via Ollama), and the local-first workflow — at no cost, with nothing required from a server. The paid tiers are monthly recurring subscriptions:
- Pro — $40/month: cloud sign-in, bring-your-own-key for other providers, and bundled models with monthly token quotas (currently DeepSeek Flash 100M tokens/mo and DeepSeek V4 Pro 15M tokens/mo).
- Max — $100/month: everything in Pro with larger bundled quotas (currently DeepSeek Flash 400M tokens/mo and DeepSeek V4 Pro 50M tokens/mo).
- Ultra — $200/month: everything in Pro with the largest bundled quotas (currently DeepSeek Flash 1B tokens/mo and DeepSeek V4 Pro 150M tokens/mo).
Bundled-model usage is metered in tokens and counts against your tier’s monthly quota. Quotas reset at the start of each monthly billing period and do not roll over. Bundled models run through our relay to a third-party inference provider (DeepSeek) — see the Privacy Policy for how that data is handled. Bringing your own API key for other providers is subject to those providers’ terms and pricing, which you pay directly. Prices are in US dollars and exclude any taxes that may apply. Tiers, prices, and quotas may change as the product evolves; changes won’t affect your current paid period.
Billing and auto-renewal
Payments are processed by Stripe; we don’t receive or store your full card details. Paid tiers bill in advance and renew automatically each month at the then-current price for your tier until you cancel. By subscribing you authorize us, through Stripe, to charge your payment method on each renewal. If a charge fails, we may retry and may suspend paid features until payment succeeds. Do not send payment information by email.
Cancellation
You can cancel at any time — from your account/billing settings (Stripe customer portal) or by emailing hello@ephemerent.com. When you cancel, your subscription stops renewing and you keep access to your paid tier through the end of the period you’ve already paid for; after that you revert to the Free local plan. Canceling does not retroactively refund the current period.
Refunds
Paid tiers are billed monthly in advance. We do not provide refunds or credits for partial months, unused token quota, or time remaining after you cancel — cancellation simply stops future renewals. As a goodwill exception during the beta, if the Service was materially unusable for you, you may request a refund within 14 days of a charge by emailing hello@ephemerent.com; we’ll review these case by case. Nothing here limits any non-waivable refund or withdrawal rights you have under the consumer law of your country.
Acceptable use
- Don’t use the Service to break the law, infringe others’ rights, or generate or distribute malware or harmful content.
- Don’t attempt to disrupt, overload, circumvent quotas/billing, reverse-engineer, resell, or gain unauthorized access to the Service or its infrastructure or the bundled-model relay.
- Don’t use the bundled models in violation of the underlying provider’s (DeepSeek’s) acceptable-use terms.
- You are responsible for the code you write and run with Orrery — including anything the agent does on your machine at your direction: editing or deleting files, running shell commands, installing dependencies, and calling external tools. Review what the agent proposes, and run it only on systems and data you’re willing to put at risk.
Your code and content
You keep all rights to your own code, repositories, prompts, and content (“Your Content”). We claim no ownership of Your Content. You grant us only the limited, temporary license needed to operate the Service you request — for example, transmitting a prompt and its context through our relay to the bundled-model provider so a completion can be generated and returned to you. We don’t use Your Content to train our own models. You’re responsible for reviewing and testing any changes the agent proposes before you accept, run, or ship them.
Our intellectual property
Orrery, the Ephemerent and Orrery names, and this website are owned by [PLACEHOLDER: LEGAL ENTITY]. Orrery is not open source; it is licensed to you for your own use under these terms, and we grant no other rights except as stated here. Outputs generated by the models for you are yours to use, subject to the underlying model providers’ terms.
Third-party services
The Service relies on third parties — Stripe (payments), Supabase (auth/data), DeepSeek (bundled-model inference via our relay), and OAuth providers (Google, GitHub) — and Orrery can also connect to providers and tools you choose (local models via Ollama, or cloud providers with your own API keys). Your use of those is governed by their terms, and any API keys you supply are yours to manage. We aren’t responsible for third-party services’ availability, output, or acts.
Disclaimer of warranties
The Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. AI-generated code and other agent output may be incorrect, insecure, or harmful, and the agent can modify files and execute commands on your machine — review and test everything before relying on it. We don’t warrant that the Service will be uninterrupted, error-free, or that bundled-model providers will remain available.
Limitation of liability
To the maximum extent permitted by law, [PLACEHOLDER: LEGAL ENTITY] and its operators are not liable for any indirect, incidental, special, consequential, or punitive damages, or for lost data, profits, business, or for damage to your files, systems, or data caused by code or commands the agent runs at your direction. To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Service is limited to the amount you paid us for the Service in the three (3) months before the event giving rise to the claim. Some jurisdictions don’t allow certain limitations, so parts of this may not apply to you.
Termination
You may stop using the Service at any time and cancel any subscription as described above. We may suspend or end access — particularly during beta — if these terms are breached, to protect the Service or other users, or if required by law. If we terminate your paid account other than for breach, we’ll refund any prepaid, unused period on a pro-rata basis.
Changes to these terms
We may update these terms as the product evolves and will revise the “last updated” date. For material changes affecting paid accounts, we’ll give notice where practical. Continued use after changes take effect means you accept them.
Governing law
These terms are governed by the laws of [PLACEHOLDER: GOVERNING JURISDICTION], without regard to conflict-of-laws rules, and the courts of that jurisdiction will have venue over disputes, except where mandatory local consumer law gives you other rights.
